Terms of Service
These terms apply when a manufacturer subscribes to the platform, and when its staff and dealers use the portal and apps it provides to them.
01The service
We provide a software platform that lets a manufacturer run its own branded ordering portal and app for its dealers, distributors and retailers, including price lists, schemes, AI order suggestions, credit control, order tracking and sales reports. We are not a marketplace and do not buy, sell or hold stock.
02Accounts and access
- The manufacturer appoints administrators who invite staff and dealers and assign roles.
- Users must keep log-in details confidential and tell the administrator if they suspect misuse.
- The manufacturer is responsible for activity carried out under its accounts.
03Commercial terms belong to the manufacturer
Prices, schemes, discounts, free goods, credit limits, payment terms and delivery commitments shown in a portal are set by the manufacturer. Any sale is a contract between the manufacturer and the dealer, not with us.
The platform applies these rules as configured. The manufacturer is responsible for checking that its price lists, schemes and credit rules are correct.
04AI suggestions
AI order suggestions are based on a dealer’s own order history and are offered for convenience. They are optional, may not always be accurate and never change prices, schemes or credit limits. Dealers and salespeople decide what to order.
05Plans, trials and billing
- Plans are priced per active dealer per month. An active dealer is one who places, or has placed for them, at least one order in that calendar month.
- Trials allow up to 10 dealers for 30 days. At the end of the trial, the portal moves to a paid plan only if the manufacturer chooses one.
- Fees are billed monthly or annually in advance, as chosen, and exclude applicable taxes.
- Unpaid invoices more than 30 days overdue may lead to suspension after written notice.
06Acceptable use
- Do not attempt to access another manufacturer’s or another dealer’s data.
- Do not upload unlawful content, malware or data you have no right to use.
- Do not use the platform to send unsolicited messages to people who are not your dealers or staff.
- Do not reverse engineer, resell or overload the service.
07Integrations
Connections to ERPs, accounting systems, payment gateways and messaging services depend on those third-party systems. We are not responsible for their availability, but we will help diagnose sync issues with them.
08Data ownership
The manufacturer owns its data. We may use anonymised, aggregated service metrics, such as uptime and response times, to operate and improve the platform, but never in a form that identifies a manufacturer, dealer or their commercial terms.
09Availability and support
We aim to keep the service available at all times, except for planned maintenance announced in advance. Support channels and response times depend on the plan.
10Limitation of liability
To the extent permitted by law, our total liability for any claim relating to the service is limited to the fees paid by the manufacturer in the 12 months before the claim. We are not liable for indirect losses such as lost profit, lost sales or loss arising from incorrect rules configured by a manufacturer.
11Ending a subscription
A manufacturer may end its subscription at the end of any billing period. We may end it for material breach that is not fixed within 30 days of notice. On ending, the manufacturer can export its data for 30 days.
12Governing law
These terms are governed by the laws of India, and Indian courts have jurisdiction over any dispute.
